Barun Law LLC provided legal advisory services for the establishment of an offshore private equity fund jointly managed (as Co-GPs) by SV Investment's Singapore entity—renowned for its successful early-stage investment in Big Hit Entertainment—and East Ventures, a leading Southeast Asian venture capital firm known for nurturing unicorns such as Grab and Traveloka through early investments.

The newly established offshore fund, KABA EV-SV Fund1 LP ("the Fund"), secured Global Partnership Fund No. 5, managed by Woori Asset Management, as its anchor LP. Key investors also included domestic institutional investors and an Indonesian state-owned enterprise. The Fund held its first closing at USD 25 million, with a hard cap of USD 100 million.

We provided comprehensive legal advisory services throughout the initial formation and capital commitment process, including:
(1) Advising on the execution of the Co-GP Agreement between SV Investment and East Ventures,
(2) Drafting and advising on the Limited Partnership Agreement, Subscription Agreement, and Side Letters,
(3) Registering the Fund as an offshore fund with the Financial Supervisory Service (FSS) of Korea, and
(4) Handling foreign exchange filings to enable Korean LPs to fulfill their capital commitments.

Going forward, Barun Law will continue to provide legal support for future fundraising activities and investment transactions of the Fund, including reviewing investment agreements for its expansion into Southeast Asia and the Korean market.
